·Commercial :
-Analysing in different languages of all frequently used contracts
-Assistance to the general and commercial management in contract negociations;
-Assessment of other party’s contractproposals;
-Support in the draw up of tenders and contractproposals with respect to the form of agreement, terms and conditions of contract, financial impact for the company and the analysis of contractual risks;
-Negotiating and drawing up changes in contract clauses in case of "dealbreaking" pre-contractual discussions.

·Corporate Strategy and Organization :
-In cooperation with other managers within the company and/or with the shareholders of the company, conceiving of the most appropriate corporate structure and the financial structure associated with it;
-In cooperation with other managers within the company, conceiving of the operational structure of the company.

·Disputes and Legal Actions :
-Preventive actions and development of legal argumentation in case of dispute through correspondance and negociations with adversary parties;
-Supporting external lawyers and preparing files in case of action in court or arbitration;

·Procedures with Government Authorities :
-All contacts with authorities and public administration in case of difficulties with respect to VAT, social security, permits, licences, authorizations, private concessions, declarations, fines, etc.
-Follow up from a finance, tax and legal point of view of licence terms, trademarks and intellectual property conditions.

·Corporate Secretary :
-Drawing up and analysis of agreements concerning the corporate operations and the financial structure of the company (acquisitions, due diligence analysis, put and call options,…)
-Consultancy to the Board of Directors;
-Secretary to the Board of Directors and the General Assembly (a.o. preparation, minuting and follow up of all legally required documents and annual reports);
-Directorship in the Board of the company's subsidiaries;
-Follow up of all corporate registrations and publications required by law.

·Social law and Human Resources support :
-Drawing up of individual and collective labour agreements;
-Drawing up, negotiating (trade unions) and implementing labour conditions;
-Support to the Human Resources Manager with respect to labour law and labour disputes and financial and tax issues associated with it.

·Management of Insurances :
-Riskmanagement with respect to insurable risks;
-Negotiating and concluding of insurance policies with brokers and insurance companies;
-Follow up of major claims (negotiations with insurance companies and claiming parties).

·Company Management :
-In consultation with the Managing Director drawing up the company directives and procedures with respect to financial management, risk management and contractual authorizations;
-As a member of the company's Management Team, contribute to the daily general management of the company and execute special assignments;
