1997-date Interim management, Consultancy and other roles

• Interim finance Director for top branded clothing retailer
Leading company in the men’s clothing industry. Carrying out all aspects of FD role until a replacement FD could be found. Review of all systems and process, completed ½ year accounts and board presentation.

• Business plan and mentoring for company in the document management sector. A small, but growing company, which had reached the limits of internal growth within its current structure. Evaluated and advised business on ways to achieve growth targets. Prepared business plan ready for fund raising. Advised directors on acquisition strategy. Completed the 2001 accounts. Reviewed the 2002 accounts to date ready for due diligence.

• Interim management reporting to group FD. Leading brand within the luxury goods industry. Tasks were to support group FD in all areas, year-end closings to tight deadlines, monthly reporting, budgets and forecasts, capital proposals, marketing plans and ad hoc projects.

• Start-up of B2B in the courier industry. The company was set up using a bespoke Internet trading software to utilise the empty return loads within the next day courier industry. Set up the finance function, established all reporting disciplines, recruited suitable staff, presented monthly results to the board, advised and mentored MD on funding requirements.

• Plastics Extrusion Company. Appointed by majority shareholders. Carried out full evaluation of a plastics extrusion company, fixed and variable costs, identified most efficient production platforms to make best use of company capacity, identified target markets, advised on key customer development. Carried out liaison with majority shareholders and other investors. Completion of shareholder agreements.

• Start up of Software Company. One of the founders and initial Directors of Software Company set up to support the, then, active market in support of the .com businesses. Prepared business plans, carried out extensive discussions with potential investors. Set up all infrastructures, completed supply and shareholders agreements, fiscal and administrative functions.

• Start up of company specialising in games peripherals. Appointed CFO. Set up all structures, established accounting and administration functions, completed business plans for fund raising / IPO, board member and shareholder liaison, production scheduling, year end accounts and audit. Latterly responsible for production areas in the Far East.

• Interim role for a software solutions company. Completed full review of all financials, systems and personnel, completed year-end close for holding group and achieved full audit within very tight group reporting schedules. Advised and recruited finance manager.

• Licence agreement and assignment of office premises. Set up and managed licence agreements for use of assets / offices of software company. Managed and advised on successful sale of assets and assignment of office premises lease.

• Start up of new JV Company for the supply of batteries for mobile phones. Set up new European office with all infrastructures, reporting structures, recruitment of finance and administration personnel, company structures. Identifies suitable office location and completed all aspect of lease negotiations. Set-up of all admin functions, networks, offices, reporting, systems evaluation, company structures, personnel policies, and banking relationships. Completion of year-end accounts, audit and reporting pack. Implemented systems.


• Digital libraries on the Internet. Development of finance / administration functions for a new software subsidiary of blue chip international company. Set up finance function, funding structures, recruited staff and implemented systems.

• Next day transportation of dangerous goods. Appointed as Non-executive chairman. Advised on funding and business direction the company. Advised, developed and implemented finance function together with MD. Guided company as to strategic directions. Reviewed and advised on internal structures.

• Outsourcing of IT function for a major water utility company. Carried out the outsourcing of IT function. Finance member of the team. Completed negotiations with outsource partners and set up processes to implement the new structures. Contract management of 3rd party agreements to ensure T’s and C’s adhered to. Set up enhanced proactive reporting for the IT division.

• Next day courier business. Assessed and advised on strategy for Russian based Distribution Company. Mentored group MD on shareholder reorganisation and sale of business.

1996 Group Finance Director, Girovend Holdings Ltd.
Electronic Cashless Purse / Banking systems. Companies in USA, UK, Germany and France. Responsible for all group finance, tax, treasury functions.

• Evaluated together with city advisors as to best way to develop company for future growth.
• Designed a restructuring of the group to maximise efficiency for tax and organisational purposes.
• Implemented a new streamlined reporting package for the board.
• Completed reverse integration into USA subsidiary following sale of European businesses.
• Successful due diligence and closing negotiations for sale of part of the business.

1994 - 1996 Director of Finance, Cardkey Systems Ltd.
High Technology Access Control Systems. UK based with branch in Holland and subsidiary in Germany. Responsible for all aspects of finance, reporting, ccompany IT, and administration / personnel functions in UK. Trustee of the company pension scheme.

• Merged company following successful negotiations and due diligence for change of ownership of company. Set up of all new company matters and completed asset sale following that acquisition.
• Upgraded company PC’s and implemented office network.
• Acquisition of company in Germany.
• Restructured company especially administration and personnel with substantial cost savings.

1981 - 1993 Shell Consumer Products (Temana International Ltd.)
The group merged with Akzo Consumer Products (1984) and was acquired by Douwe Egberts (Sara Lee Corporation) in 1987. I had a number of posts both in U.K. and Europe. Achievements were

• Completed due diligence and take-over accounts.
• Organised company structures for legal, tax and treasury matters.
• Established local and group reporting systems in those countries.
• Built up customer administration department for invoicing, credit, and customer care.
• Carried out transitional management and post acquisition evaluation of businesses.
• Re-established operational methods following staff reorganisations.
• Implemented new computer systems to comply with group requirements.
• Developed logistics departments. Set up and local planning / logistics / purchasing departments to ensure accurate forecasting, planning, cost prices and efficient / timely supply of goods to markets.
• Rebuilt relationships with local unions at factory in Greece and established reliable supply of products.
• Carried out acquisition studies, acquired and integrated companies into local systems and cultures.
